1. Eligibility and acceptance
You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation. Your use of the Service is also subject to our Privacy Policy and Cookie Policy, which are incorporated by reference.
2. The Service
Vidrys measures whether, how strongly, and why AI engines recommend a brand to its buyers, explains outcomes, and drafts content recommendations. Insights, scores, and recommendations are provided for informational purposes to help you make your own decisions.
3. Accounts, review, and activation
- To use the Service you must create an account and a workspace and provide accurate, complete, and current information.
- New workspaces are subject to review and manual activation by us before dashboard access is granted. We may accept or decline any registration at our discretion.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorised use.
4. Plans, fees, and taxes
- Paid plans and their limits are described on our pricing page. We do not currently operate a self-serve payment gateway; billing is arranged directly until self-serve payments are enabled.
- Fees are stated exclusive of taxes. You are responsible for all applicable taxes, including Goods and Services Tax (GST), except taxes on our income.
- Unless required by law or stated otherwise in an order, fees are non-refundable. Subscriptions, once enabled, may renew for successive terms unless cancelled before renewal.
- We may change plans and pricing prospectively on notice.
5. Your data and content
You retain all rights in the data, brand information, and content you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive licence to host, process, and use Customer Data solely to provide, secure, and improve the Service and as described in our Privacy Policy. You represent and warrant that you have all rights necessary to submit Customer Data (including any website or brand information) and that doing so does not infringe any third-party rights or violate any law.
6. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service unlawfully, or in violation of these Terms or any third-party rights;
- reverse engineer, decompile, scrape, or attempt to access the Service or its underlying code except as permitted by law;
- probe, disrupt, overload, or circumvent the security or access controls of the Service, or exceed the limits of your plan;
- upload malware, or transmit unlawful, infringing, defamatory, or harmful content;
- resell, sublicense, or provide the Service to third parties except as expressly permitted; or
- use the Service to build a competing product.
7. Intellectual property
The Service, including its software, models, methodology, design, and trademarks, is owned by Vidrys and its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.
8. Third-party services
The Service interoperates with third-party services, including AI engines and content-management systems. Your use of those services is governed by their own terms, and we are not responsible for them. AI engines are operated by third parties and their availability and behaviour may change.
9. AI outputs and no guarantee of results
AI-generated answers are probabilistic and vary between queries and over time. Scores, win rates, recommendations, and drafted content are estimates based on sampling and models, may contain errors, and are provided for your evaluation. We do not guarantee any particular ranking, recommendation, visibility, traffic, or business outcome. You are responsible for reviewing outputs before relying on or publishing them.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the total fees paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the liability (or ₹10,000 if no fees have been paid). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Vidrys and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including sections 5, 7, and 10–16) will survive.
14. Force majeure
Neither party is liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, outages, network or third-party failures, or governmental action.
15. Governing law, jurisdiction, and dispute resolution
These Terms are governed by the laws of India. Subject to the arbitration provision below, the courts at [City], India will have exclusive jurisdiction. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by us; the seat and venue of arbitration shall be [City], India, and the language shall be English.

18. Miscellaneous
These Terms, together with the Privacy Policy and any order, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
